These Terms govern your use of gembatools.io (the “Platform” or “Service”), operated by GEMBA EOOD (EIK 208656371), Varna, Bulgaria (“GEMBA”, “we”, “us”). By connecting a wallet or using the Service you accept these Terms. If you do not accept them, do not use the Service.
Gemba Tools is a no-code platform for deploying standalone smart contracts and managing them, with an integrated decentralized exchange. Through the Platform you can:
Supported networks are Ethereum, BNB Smart Chain, Polygon and Base (plus the Sepolia
testnet). Every contract is a standalone, verified, non-upgradeable deployment — no proxies,
no clones, no admin backdoor — and emits a CreatedViaGembaTools event for attribution. Once
deployed, a contract is owned and controlled by you, on a public blockchain, and is outside our control.
Gemba Tools is fully non-custodial. You connect your own Web3 wallet and sign every transaction yourself. We never take custody of your funds, never receive or store your private keys or seed phrase, and cannot move, freeze, recover or reverse anything on-chain. Loss of your keys means permanent loss of access to your assets and contracts.
Deploying a contract charges a fixed platform fee in the network’s native coin (e.g. ETH, BNB, POL), shown to you before you confirm. The integrated swap charges a small platform fee (currently 0.3%) collected on-chain at swap time. Network gas is separate and paid by you to the network. Fees are stated at the point of use; because deployment and swaps are executed on-chain and are irreversible, platform fees are non-refundable.
When you pay Gemba Tools platform fees in GMB (the native utility coin of GembaBlockchain), you receive a 20% discount versus the standard price, computed at the fixed rate 1 GMB = €1. GMB is a utility coin meant to be used for services and network gas — it has no buyback, no fiat redemption and no guaranteed market price, and it is not an investment. You are solely responsible for everything you deploy and do through the Platform, including: the legality, accuracy and compliance of any token, NFT or contract you create and its parameters; not infringing anyone’s rights; complying with all laws that apply to you (including securities, consumer-protection, anti-money-laundering and tax laws); and the security of your wallet. You must not use the Platform to create or promote fraudulent, infringing, deceptive or unlawful tokens or schemes (e.g. scams, unregistered securities, or “rug pulls”).
The Platform and any information on it are provided for convenience only and are not financial, legal, tax or investment advice. Creating or trading tokens is risky. GEMBA does not endorse, vet, or take responsibility for any token, NFT, presale or project created or traded through the Platform.
Blockchains and smart contracts are experimental. Contracts may contain bugs; transactions are irreversible; token values can go to zero; liquidity can be removed; and third-party tokens you interact with may be malicious (honeypots, hidden taxes, etc.). You use the Platform and interact with any token at your own risk.
The Service is provided “as is” and “as available”, without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, availability, security or non-infringement.
To the maximum extent permitted by law, GEMBA and its team are not liable for any indirect, incidental, special or consequential damages, or for any loss of tokens, funds, data or access, arising from the Service, the contracts you deploy, your use of GMB, third-party tokens, network conditions, or irreversible on-chain transactions.
The Gemba Tools name and branding belong to GEMBA EOOD. The platform and contract code are open source under their respective licenses and provided “as is”; deploying or using them is at your own risk. Tokens and NFTs you create belong to you.
The Service relies on third parties, including RPC providers, block explorers, Uniswap, GembaPay, and Cloudflare (security/anti-bot). Your use of those is also subject to their own terms.
We may update these Terms at any time; the “Last updated” date will change. Continued use after an update means you accept the revised Terms.
These Terms are governed by the laws of the Republic of Bulgaria and applicable European Union law; disputes are subject to the competent courts of Bulgaria, to the extent permitted by mandatory law. Contact: [email protected].
